Social Suite owns or has obtained legal authorization of all design drawings involved in Social Suite network platform and Social Suite account and other drawings, products, and service names. Without Social Suite’s prior written consent, you may not duplicate, issue, exhibit, translate, compile, or through information network spread, the above drawings, products, and service names, or use the same for any purposes.
3.2 You shall own all intellectual property rights in the words, pictures, music, videos, software and other information published you have uploaded using your Social Suite account while using Social Suite services. You hereby agree to grant to Social Suite a non-exclusive, perpetual, irrevocable right to use (including but not limited to the rights to duplicate, issue, exhibit, translate, compile, or spread through information network, etc.) the above information. You further agree that Social Suite may sublicense such rights. If you discover that there is any unsigned works on the Social Suite platform, and you are the author or rightholder please promptly contact us. We will consider your request and properly deal with such problem as quickly as possible.
3.3 You warrant that you are the copyright owner of or have obtained legal authorization of the information published and uploaded by you by using your Social Suite account at the time of your use of Social Suite services, and such information will not infringe upon the lawful rights and interests of any third party. If any third party raises a lawful and reasonable objection to the above information, Social Suite reserves the right to delete relevant information based on the circumstances, and take appropriate legal action to hold you accountable.
3.4 Social Suite values your privacy. We will make every reasonable endeavor to protect your privacy. In the course of your use of you Social Suite account, we may collect, store, dispose, share, and use your personal information and non-personal information. 4.1 In order to make full use of the resources available through your Social Suite account, if you fail to activate your Social Suite account after submitting your information; fail to initially login and use your Social Suite account in a timely manner after registering your Social Suite account; or fail to log in and use your Social Suite account within designated continuous period of time; or violate the terms of this Agreement, Social Suite shall have the right to terminate the use of your Social Suite account and discountinue its provision of services to you.
4.2 You understand and agree that Social Suite shall have the right to temporarily or permanently terminate all or part of the services at any time in accordance with its own business needs. If such termination materially affects your rights or interests, Social Suite will provide you with written notice via the contact details you have provided. You shall take proper measures to address any virtual property involved in your Social Suite account within seven (7) working days of the receipt of the above notice. If you fail to do so in accordance with the methods prescribed by Social Suite in a timely manner, you shall solely assume all related liabilities.
5.1 Social Suite explicitly disclaims all warranties with respect to the accuracy, truthfulness, and completeness of any information contained on the Social Suite website.. If you intend to take any actions based on the above “information”, you shall be solely responsible for distinguishing the accuracy and truthfulness of such information and shall be responsible for taking reasonable measures to mitigate any such risk. Social Suite shall not be responsible for the consequences arising from your acts. When receiving the services from Social Suite, you may come into contact with uncomfortable or offensive information. In no event shall Social Suite be liable for any such information. However, Social Suite will deal with the said information as soon as practicable possible upon discovery. Social Suite shall not be held liable for any losses or damages arising from or relating to your use of the website not directly associated with Social Suite, whether direct, indirect, accidental, special, consequential, or punitive.
5.2 Given the special nature of Internet services, you understand and agree that under none of the following circumstances shall Social Suite be held liable for your losses (including but not limited to property loss, earning loss, loss of data, etc., or other intangible losses):
6.1 If Social Suite finds or receives complaints or reports from others that you have violated any provisions of this Agreement, Social Suite shall, without prior notice, have the right to at any time delete and shield the relevant information you have published or uploaded. Depending on severity of circumstances, Social Suite reserves the right to impose punishment against you, including but not limited to warning, restriction on, or prohibition of, your use of all or part of functions, account closure until account cancellation, or other appropriate actions such as providing public warnings. You shall solely be held responsible for any related losses
6.2 If your acts cause losses to Social Suite, including but not limited to direct losses, reputation losess, third party penalties, claims, etc., Social Suite shall have the right to seek indemnity from your for any such losses it has experienced.
6.3 If any dispute between you and a third party occurs due to your violation of the provisions of this Agreement, you shall be solely responsible for all related consequences, and indemnify and hold Social Suite harmless. In such a case, Social Suite has no obligation to assist you in settling such dispute and you shall not involve Social Suite in any such settlement.
6.4 Limitation on Liability: For any loss (regardless of the type of loss) you suffer for whatever reason in the course of your use of your Social Suite account, in no event shall Social Suite be held liable for damages in excess of the price you have paid to Social Suite, unless otherwise expressly provided for under applicable laws or regulations.
7.1 Any issue arising from or relating to this Agreement,, including its execution, performance or lack thereof, interpretation, or the settlement of related disputes shall be governed by the laws of the United Kingdom, without regard to the conflict of law provisions. If there is any conflict between a provision of this Agreement and laws and regulations, the laws and regulations shall prevail. If a provision of this Agreement is held invalid, the validity of the remaining provisions hereof shall not be affected.
7.2 Any dispute arising from the performance of this Agreement shall be settled by the Parties through friendly consultation. If no settlement can be reached through friendly consultation, either Party may bring a claim before a court of competent jurisdiction in the place where defendant is located.
8.1 Any important from Social Suite may be sent to you via the e-mail, mobile phone number, mailing address and other contact details you provided when you registered your Social Suite account, or by publishing such information through the Social Suite platform. Information sent by electronic communication modes shall be deemed as effectively given at the time received on your electronic equipment.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SOCIAL SUITE NOR ANY RELATED PARTY WILL BE LIABLE TO ANY PERSON OR ENTITY FOR ANY CLAIM RELATING TO THE SUBJECT MATTER OF THE TERMS OF SERVICE, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY, FOR (I) ANY AMOUNTS IN EXCESS OF THE AGGREGATE AMOUNT OF FEES PAID BY YOU TO SOCIAL SUITE DURING THE TWELVE (12) MONTH PERIOD PRIOR TO SUCH CLAIM ARISING, (II) ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS OR DAMAGE, (II) LOST PROFITS, SAVINGS OR REVENUE, (III) BUSINESS INTERRUPTION, (IV) LOSS OF USE, (V) PERSONAL INJURY, (VI) FINES, FEED OR PENALTIES, (VI) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS, TECHNOLOGY OR SERVICES, (VII) LOSS OR CORRUPTION OF DATA OR CONTENT, (VIII ) INTERRUPTION OF USE, OR (IX) ANY OTHER LOSSES OR DAMAGES WHETHER OR NOT SOCIAL SUITE IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU SPECIFICALLY AGREE THAT SOCIAL SUITE WILL NOT BE LIABLE FOR ANY USERS’ CONTENT, USER FILES OR DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT YOU ASSUME THE FULL RISK OF HARM OR DAMAGE FROM THE FOREGOING.
Some jurisdictions do not allow the limitation of liability for certain damages so the above limitation of liability may not apply to You. If applicable law limits the application of the provisions of this Section, Social Suite liability will be limited to the maximum extent permitted by applicable law.
N. Your Representations and Warranties
By using the Site, the Services or the Content You represent and warrant that (1) if You have an Account, you have truly, accurately and completely identified Yourself through Your Account and will maintain the accuracy and completeness of such identification; (2) You are a corporation or other business entity authorized to do business pursuant to applicable law, or an individual 18 years of age or older; (3) if You are an individual 17 years of age or younger, Your parent or guardian consents to Your use of the Site and Service and agrees, on Your behalf, that You will comply with the Terms of Service; (4) You have the full right and authority to enter into, execute and perform Your obligations under the Terms of Service and that no pending or threatened claim or litigation known to You would have a material adverse impact on Your ability to perform as required by these Terms of Service; (5) Your activities on the Site do not and will not violate the Terms of Service or the rights of any third party, including infringing or misappropriating any third parties’ intellectual property and publicity rights; (6) You understand and agree that the Terms of Service is a legally binding agreement and the equivalent of a signed, written contract; (7) You will use the Site and the Services in a manner consistent with all laws and regulations and in accordance with the terms and conditions of the Terms of Service; (8) You are authorized to sign for and bind the person or entity using the Site or the Services; and (9) You will not impersonate any person or entity, misrepresent any affiliation with another person, entity, or association, use false headers, or otherwise conceal Your identity from Social Suite or in any material that You post or submit on the Site for any purpose.
O. Remedies
You acknowledge and agree that damages are an inadequate remedy in the event of an actual, intended or threatened breach of the Terms of Service and that any such breach by You will cause Us irreparable injury and damage. Accordingly, You agrees that We shall be entitled to preliminary and permanent injunctive relief in the event of an actual, intended or threatened breach by You, without any requirement to post a bond or prove any actual damages to You (and without waiving any additional rights or remedies, including monetary damages, otherwise available to Us at law, in equity or by statute).
P. Governing Law; Exclusive Jurisdiction
The Terms of Service and any disputes relating to the Site, the Services or the Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah. The Uniform Computer Information Transactions Act is hereby excluded and shall not apply to the Terms of Service. Any disputes hereunder shall be within the exclusive jurisdiction of the state and/or federal courts located within Salt Lake County, Utah, and the parties hereby consent to such exclusive jurisdiction and waive objections to venue therein and jurisdiction thereof. In any action to enforce the Terms of Service, the prevailing party will be entitled to recover its costs and attorney’s fees. Any cause of action You may have with respect to Your use of the Site or the Services must be commenced within one (1) year after the claim or cause of action arises.
Q. Severability
If any portion of the Terms of Service is held by a court of competent jurisdiction to be invalid or unenforceable, the remaining portions of the Terms of Service will remain in full force and effect and, upon our request, the court will construe any invalid or unenforceable portions in a manner that most closely reflects the effect and intent of the original language. If such construction is not possible, the provision will be severed from the Terms of Service and the rest of the Terms of Service shall remain in full force and effect.
R. Miscellaneous
The Terms of Service together with all policies and agreements referenced herein constitutes the entire agreement between Social Suite and You with respect to the Site, the Services and the Content, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between You and Social Suite with respect to the Site, the Services and the Content, unless an agreement specifically provides that it is not superseded by the Terms of Service. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. You may not assign the Terms of Service or any part of the Terms of Service without the express written consent of Social Suite. You agree that Social Suite may assign the Terms of Service or any part of the Terms of Service at any time and for any reason without notice or Your consent. Social Suite may also delegate, subcontract or engage any third party to perform any part of the Services or any of Social Suite obligations under these Terms of Service at any time and for any reason without notice or Your consent. The parties are independent contractors and will so represent themselves in all regards. Neither party is the agent of the other and neither may bind the other in any way. Neither party will be deemed to have waived any of its rights under the Terms of Service by lapse of time or by an statement or representation other than (a) by an authorized representative and (b) in an explicit written waiver. No waiver of a breach of the Terms of Service constitute a waiver of any prior or subsequent breach of the Terms of Service.
Subject to the terms and conditions of the Terms of Service, Social Suite will provide the Member Services to Members in accordance with its then-current pricing and other policies and procedures, as set forth on the Site or otherwise provided to Members from time to time. For Member Services offered on a payment or subscription basis, the following terms apply unless We notify You otherwise in any payment terms on the Site or otherwise in writing:
VAT
All payments made shall include value added tax at the prevailing rate.
Fee Increase
We reserve the right to increase service fees, on certain controlled products and services, at any time, subject to 14 days notice of such an increase sent electronically to any email address.
Overdue Payments
You as the client should pay all amounts due in full without any deduction or withholding and shall not assert any credit or set-off or counterclaim against us in order to justify the withholding of the whole or part of any such amount. If any Fees become overdue for payment, we may claim interest, (both before and after judgment) at a daily rate of 5% above the Barclays Bank base rate on any outstanding amount until all Fees are received, together with the costs of recovering payment, including any incurred by a debt recovery agent.
